Acceptance of terms through use
Welcome to Percent Match Auctions. These terms outline the rules and regulations for use of the Percent Match Auction website at percentmatchauction.com.
By using this site or clicking “I agree”, you (“User”) signify your agreement to these terms. If you do not agree, please do not use this site. Percent Match Auction reserves the right to revise this Agreement; continued use following any posting of changes constitutes acceptance of those changes. The Company may terminate a User’s access at any time without notice for any breach of this Agreement.
All interactions and transactions must go through a escrow process before any money or merchandise exchanges hands. percentmatchauction.com does not collect information to become involved with transactions between parties.

This Agreement must be completed, understood and agreed to by a person over 18. If you are under 18, or accessing this site from any country or state where the material is prohibited or illegal, please leave now — you do not have permission to access this site.
License to use this site
The Company grants you a non-exclusive, non-transferable, limited-time license to use this site in strict accordance with this Agreement. You agree not to make false or fraudulent statements in your use of, or to gain access to, this site.
All content and services on this site are property of the Company and its advertisers and licensors, protected by copyrights, moral rights, trademarks, service marks, patents, trade secrets, and other proprietary rights in the U.S. and internationally. All rights not expressly granted are reserved.
License restrictions

Security
If issued a Username and Password, you agree to use best efforts to prevent access through your credentials by anyone other than yourself — keeping them confidential, notifying the Company immediately upon discovery of loss or unauthorized access, and using a password not easily guessed.
You agree not to reverse engineer, reverse assemble, reverse compile, decompile, disassemble, translate, or otherwise alter any executable code, content, or material on this site. Such actions may subject you to civil and criminal penalties pursued to the full extent of the law.
International users & export
Accessing this site from places outside the U.S., or where its contents are illegal, is prohibited except as expressly allowed. Users who access from other locations do so voluntarily and are responsible for compliance with local laws.
None of the information on this site may be downloaded, exported or re-exported, and/or to any country restricted by the U.S. Government. You agree you are not a citizen or resident of these countries.

THIS LIMITATION APPLIES WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, OR STRICT LIABILITY.
BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, LIABILITY IN ALL JURISDICTIONS SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO US.
Indemnification
You agree to defend, indemnify, and hold harmless the Company, its advertisers, licensors, subsidiaries, affiliates, employees, contractors, officers, agents, and directors from all liabilities, claims, and expenses, including attorney’s fees, arising from your use of this site or any violation of this Agreement.
The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which event you shall cooperate in asserting any available defenses.
Legal compliance
The Company may suspend or terminate User’s use immediately upon receipt of any notice alleging use of this site for any unlawful purpose. The Company may disclose the User’s identity and contact information if requested by a government or law enforcement body, by subpoena, or other legal action, and shall not be liable for damages from such disclosure.
The Seller/Buyer acknowledges and agrees that they are responsible for determining, reporting, and paying all applicable taxes. This includes, but is not limited to, any federal, state, or local capital gains taxes or income taxes arising from the auction and sale of assets. The Auctioneer does not withhold taxes from the settlement proceeds and makes no representations regarding the tax consequences of this transaction.
Choice of law & forum
This site is controlled by the Company from offices within the State of Florida, U.S.A. The statutes and laws of Florida shall apply to any actions or claims arising from this Agreement or your use of this site, without regard to conflicts of laws principles.
You and the Company submit to the exclusive personal jurisdiction and venue of Sarasota, Florida. Legal proceedings shall be conducted in English. This Agreement shall not be governed by the United Nations Convention on Contracts for the Sale of Goods.
Miscellaneous
This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous agreement. It shall not be changed except by written agreement signed by an officer of the Company. If any provision is unenforceable, the remaining provisions shall not be affected.
Incomplete profiles may be removed by the Company. Profile information, Do NOT send gifts, money, or exchange personal information with other users. You are responsible for all your contacts and interactions. This site is not responsible for any information or life-changing decisions given, taken, or received from this or any Company site. User shall not assign or transfer this Agreement; any such transfer is void.
Site submission rules
By posting or transmitting information through this site, you agree not to upload or distribute content that:
- Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of privacy, tortious, obscene, sexually explicit, or otherwise in violation of this site’s rules.
- Victimizes, harasses, degrades, or intimidates an individual or group on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
- Infringes any patent, trademark, service mark, trade secret, copyright, moral right, right of publicity, privacy, or other proprietary right of any party.
- Constitutes unauthorized or unsolicited advertising, spam, chain letters, lottery, or gambling.
- Contains viruses or code designed to disrupt, damage, or limit functioning of software, hardware, or telecommunications equipment.
- Impersonates any person or entity, including any employee or representative of this site, its licensors or advertisers.
You also agree not to harvest information about users for unsolicited bulk communications, and not to solicit or collect information from anyone under 18 years old.

This site generally does not pre-screen, monitor, or edit content posted by users. However, this site and its agents have the right, at sole discretion, to remove incomplete content or profiles, or content that does not comply with the Site Submission Rules or is otherwise harmful, objectionable, or inaccurate.
Marketplace & auction rules
The Platform provides an online marketplace for buying and selling domain names through auctions and direct listings. To participate, users must create an account and maintain the confidentiality of their login credentials. You are responsible for all activity under your account and must promptly notify us of unauthorized use.
Binding bids: All bids are legally binding. Once placed, a bid cannot be withdrawn except in exceptional circumstances at our sole discretion.
Winning: The highest valid bid at auction close wins. The winning bidder agrees to complete payment within 3 days and provide accurate transfer details. Failure may result in account suspension and additional fees.
Reserve prices: If the reserve is not met, the seller is not obligated to sell. Proxy bidding may be allowed, where the system automatically raises bids up to your maximum amount.
Seller responsibilities
Sellers represent and warrant that they are the lawful owner of the domain, that the domain does not infringe any trademark, copyright, or third-party rights, and that the domain is eligible for transfer.
The Seller acknowledges and agrees that they are responsible for determining, reporting, and paying all applicable taxes. This includes, but is not limited to, any federal, state, or local capital gains taxes or income taxes arising from the auction and sale of assets. The Auctioneer does not withhold taxes from the settlement proceeds.
Sellers agree to complete the domain transfer within 1 to 8 days after payment confirmation.
Payments and fees
Buyers agree to pay the final bid amount plus a 2% broker fee. Sellers agree to pay Escrow.com transaction fees.
All payments must be made through approved methods listed on the Platform. We reserve the right to change fee structures with notice.
Domain transfers
After payment is confirmed, the seller must unlock the domain and provide transfer authorization codes. The buyer must initiate the transfer promptly. We are not responsible for delays caused by registrars.
Prohibited activities
Users may not engage in fraudulent bidding, artificially inflate prices (shill bidding), list domains they do not own, violate intellectual property rights, or attempt to bypass Platform fees.
Violations may result in immediate termination.
